1. Service Description

SGS Pro ("Service", "we", "us") is a B2B Software-as-a-Service (SaaS) platform that provides analytics and optimization insights for brand visibility on AI-powered search engines. The platform delivers audits, analyses, and structured recommendations related to a brand's presence on generative AI models.

2. Acceptance of Terms

By accessing or using the Service, or by creating an account, you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

3. Subscriptions and Billing

The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"), either monthly or annually. All payments are securely handled by our third-party merchant of record, Lemon Squeezy.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it at least 24 hours prior to the renewal date. You may cancel your Subscription renewal through your online account management page.

4. Cancellation and Refund Policy

You may cancel your Subscription at any time. The cancellation will take effect at the end of the current Billing Cycle, and you will not be billed for the subsequent cycle. You will retain access to the Service until the end of your paid period.

Our refund policy is detailed at searchgptseo.com/refund-policy. As per our policy, we may offer refunds under specific conditions, such as for initial purchases within a limited timeframe. No refunds are provided for subscription renewals or for partial subscription periods.

5. Disclaimer of Warranties and No Guarantee of Results

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SGS Pro makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

SGS Pro does not warrant, and explicitly disclaims, any guarantee of specific outcomes or results. The data, insights, and recommendations provided by the Service are for analytical and informational purposes only. You acknowledge that success in AI search visibility is dependent on numerous factors beyond our control, including but not limited to actions taken by third-party search engines, competitor activities, and your own implementation of our recommendations. Any marketing language suggesting performance outcomes does not constitute a promise or guarantee.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SGS Pro, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total liability in any matter arising out of or related to these terms is limited to the greater of (a) one hundred US dollars ($100) or (b) the aggregate amount you paid for the Service during the twelve (12) months preceding the event giving rise to the claim.

7. Account Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not in a breach of the Terms.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
